User Notice
This Agreement is a legal agreement between Oriental Watch Company (China) Trading Co., Ltd. (hereinafter referred to as “Oriental Watch Company” or “we/us”) and users (hereinafter referred to as “users”) when providing services on the official website of Oriental Watch Company (China Mainland) (hereinafter referred to as “this Website”).
This Agreement applies to all activities of users accessing and using this Website within the People’s Republic of China (excluding Hong Kong, Macao, and Taiwan). 1.2 Amendment of the Agreement

Where the revision involves significant changes to the purposes, methods, or rules of personal information processing, the Company shall obtain the User’s explicit consent again in accordance with the Personal Information Protection Law of the People’s Republic of China and other applicable laws.
1.3 User’s Right of Choice
Users who continue to access and/or use the Website services after the announcement period shall be deemed to have accepted the revised Agreement.
If a User does not agree to the revised Agreement, the User shall cease using the Website services; registered Users may cancel their accounts.
1.4 Supplementary Agreements
For matters not covered herein or for specific services, the Company may enter into supplementary agreements with Users. Such supplementary agreements shall have the same legal effect as this Agreement. In case of any conflict, the supplementary agreement shall prevail.Article 4 Company Rights and Obligations

Article 2 Service Content and Usage Rights
2.1 Service Content
The Website provides Users with services including, but not limited to, product information display (including watches, jewelry, accessories, and other consumer goods), brand information browsing, and VIP membership services. The specific functions shall be subject to the actual display on the Website.
2.2 Service Adjustment
The Company reserves the right to optimize service functions in accordance with technological iterations and compliance requirements. Major functional changes (such as termination of core services) shall be announced in advance, and reasonable follow-up arrangements (such as extension of VIP membership or refunds) shall be provided.
2.3 User Rights

Article 3 User Rights and Obligations
3.1 User Rights
3.1.1
Users have the right to browse product information and use consultation and membership services on the Website, and may request the Company to explain or clarify unclear product information.

In accordance with the Privacy Policy, Users have the right to be informed, to access, to correct, to delete, and to withdraw consent regarding their personal information, and to request that the Company keep such information confidential.

If the Company fails to provide services in accordance with this Agreement, Users have the right to request remedial measures or compensation for reasonable direct losses.
3.2 User Obligations
3.2.1
Users shall comply with the laws and regulations of the People’s Republic of China and shall not use the Website to engage in the following activities:
1.Publishing or disseminating illegal, obscene, violent, or defamatory content, or content that infringes upon others’ intellectual property rights, reputation, or privacy;
2.Interfering with or attacking the Website’s servers or network systems, or maliciously obtaining data or occupying service resources through automated programs or fraudulent means;
3.Registering VIP membership using false or others’ identity information, or transferring, leasing, or lending VIP accounts;
4.Any other activities that violate laws, public order and morals, or this Agreement.
3.2.2
Users shall properly safeguard their VIP account, password, and verification codes, and shall bear responsibility for all activities conducted under their accounts.
If any account theft or leakage is discovered, Users shall promptly notify the Company through customer service channels. The Company shall take measures such as freezing the account and investigating risks within forty-eight (48) hours upon receipt of such notice.
3.2.3
Users shall bear any usage obstacles caused by their own equipment failure or network issues. If any security vulnerability of the Website is discovered, Users shall promptly inform the Company.
Article 4 Rights and Obligations of Our Company
4.1 Rights of Our Company
4.1.1 Our Company has the right to conduct compliance reviews of users' usage behavior. If a user violates this Agreement or applicable laws and regulations, Our Company has the right to take measures such as warnings, restricting service functions, suspending or terminating VIP membership services, freezing or canceling accounts. If the above measures are taken due to the user’s breach, Our Company shall not bear liability for breach; if losses are caused to Our Company, Our Company has the right to claim compensation from the user.
4.1.2 In order to maintain the operational security of this website, Our Company has the right to review content published by users (such as consultation messages). For illegal or non-compliant content, Our Company has the right to delete or block it.
4.1.3 Within the scope permitted by laws and regulations, Our Company has the right to adjust product information and service prices on this website according to business needs. Relevant adjustments shall be announced in advance.
4.2 Obligations of Our Company
4.2.1 Our Company shall provide stable and secure website services in accordance with this Agreement, adopt technical measures such as encryption and access control to ensure the security of users’ personal information and accounts, and comply with the security requirements of the Cybersecurity Law and the Personal Information Protection Law.
4.2.2 Our Company shall fully, truthfully, accurately, and promptly disclose product information displayed on this website (including prices, specifications, etc.), indicate the update time of the information, and if there are errors, correct and announce them within 48 hours after receiving user feedback.
4.2.3 Our Company shall bear confidentiality obligations for users’ personal information and shall not illegally collect, use, disclose, or transfer such information. Under the following circumstances, Our Company may share users’ personal information:

(2) To fulfill this Agreement, process user orders, provide customer services, and manage membership rights, Our Company may need to share necessary personal information with its affiliated companies (including but not limited to subsidiaries of Oriental Watch Company business). Our Company will require affiliated companies to undertake the same level of personal information protection obligations and adopt necessary technical and management measures to ensure information security;
(3) Other circumstances as required by laws and regulations.

4.2.4 Our Company shall provide convenient customer service and respond to user inquiries and complaints during working days from 10:00 to 17:00. General issues shall be handled within 15 working days with feedback provided.
4.2.5 If website services need to be suspended due to system maintenance or upgrades, Our Company shall announce this 24 hours in advance on the homepage. Except for routine maintenance, suspension due to major system upgrades or security maintenance shall generally not exceed 48 hours per occurrence. To ensure system stability, routine maintenance of approximately 10 minutes will be conducted daily between 9:00 PM and 9:00 AM, during which some or all services may be suspended.
Article 5 VIP Membership Services
5.1 Membership Qualification
Users may apply to become VIP members after completing real-name registration on this website. Membership is personal to the registered user and may not be transferred, leased, or lent.

Users may apply to cancel their account via the customer service email info@orientalwatch.com. Before cancellation, users shall properly handle related rights (such as VIP membership and unused coupons). After cancellation, personal information will be handled in accordance with the Privacy Policy.
9.3 Unilateral Termination by Our Company
If users violate this Agreement or engage in illegal or non-compliant activities, Our Company has the right to unilaterally terminate the Agreement and freeze or cancel the account.
9.4 Post-Termination Rights and Obligations
Termination shall not affect rights and obligations arising prior to termination. Our Company shall continue to fulfill confidentiality obligations regarding personal information collected before termination.
Article 10 Privacy Protection
10.1 Applicability of Privacy Policy
The scope, method, and purpose of processing personal information shall be governed by the “Oriental Watch Company (China) Trading Co., Ltd. (Mainland China) Website Privacy Policy,” which forms an integral part of this Agreement.

Article 11 Dispute Resolution and Governing Law

Any disputes shall first be resolved through friendly negotiation. If negotiation fails, either party may bring a lawsuit to the competent court at the location of Our Company.

12.2 Severability
If any provision is invalid or unenforceable, other provisions remain valid.
12.3 Entire Agreement
This Agreement constitutes the entire agreement and supersedes prior agreements.
